Busch GmbH, based in Gevelsberg, is a traditional manufacturer of stamped, formed and bent parts for the automotive and agricultural industries. The takeover of the business by Frielinghaus (Ennepetal), a leading supplier to the agricultural machinery industry, enables jobs and the location in Gevelsberg to be secured.
The sale process for the assets of Busch GmbH was initiated by the company's interim insolvency administrator, attorney Marvin Bauernfeind from BBL Brockdorff Rechtsanwaltsgesellschaft mbH, after the Hagen District Court approved the application to open insolvency proceedings on 27.10.2022 and appointed Marvin Bauernfeind as interim insolvency administrator. After successfully stabilizing business operations, Marvin Bauernfeind initiated the M&A process for a transfer restructuring and initiated the search for suitable investors.
novaerion GmbH was commissioned to carry out a professional M&A process. Despite the tight overall economic situation in the industry, including volatile order situation, price pressure and margins as well as inflation, it was finally possible to identify a buyer who would take over the company and further develop it strategically.
Frielinghaus proved to be a promising prospect even during the market approach. An important factor for the successful deal was the existing business relationship between the two companies, which enabled Frielinghaus to bring the know-how of the products and expanded production capacities in-house.
Marvin Bauernfeind says: “We are very pleased that in Frielinghaus GmbH, a strategically suitable company has been found to acquire Busch GmbH. This ensures the future of employees and allows customers and suppliers to look ahead with confidence. ”
Dr. André Schröer, novaerion GmbH, adds: “In the current environment of the automotive supply industry, it is very demanding to find good transaction solutions for companies — not just in a restructuring environment. We are all the more pleased that we were able to contribute to a good solution for all parties involved and wish the company and the acquirer every success in the future. ”
